In an effort to further improve our services, Agoda is updating the Terms and Conditions of our agreement with your property.

Your continued use of Agoda services after the update comes into effect will be deemed to be acceptance of them. We encourage you to read the updated Terms and Conditions by logging into your Agoda YCS account on desktop or mobile and go to Resources >> Terms & Conditions.

The updated Terms and Conditions will come into effect on 8 December 2023. These terms are an update to our General Terms & Conditions (21 Oct 2022) and are called General Terms and Conditions (version 6.0). If this update applies to your property, you will:

  • Receive an email notification from us.
  • Be able to view the Terms and Conditions in the Contracts section in YCS.

Please note that your continued use of Agoda services will constitute acceptance of these terms and conditions.

Summary of Key Changes

The new Terms and Conditions includes, amongst other things, updates to the KYC & Screening Process and Fair Competition provisions.

  • Agoda Payment Terms – added clarity on Agoda Payment Terms including Unique Payment Cards (“UPCs”) and other payment methods supported by our system.

The updated Terms and Conditions will come into effect on 31 January 2021. These terms are an update to our General Terms & Conditions (13 April 2020) and called General Terms and Conditions (version 2.0) If this update applies to your property you will:

  • Receive an email notification from us.
  • Be able to view them on the YCS Terms and Conditions page (menu: Resources> Terms and Condition).

We have also updated our Agoda Privacy Policy for Accommodation Partner Extranet.

You will be able to view them on the YCS Privacy Policy page (menu: Resources> Privacy Policy).

 

Summary of Key Changes

While making sure to maintain clear visibility, readability, and wide coverage, we have updated some important key statements as listed below:

  • Information on communication tools– we have included new provisions to cover the use of the Hermes as an Agoda communication tool to align with operational practices;
  • USA rate clarification – specifically for US-based properties the different rate models have been included i.e. Opaque, Package, and Public;
  • Fair Competition– these provisions have now been made less restrictive with a focus on working together on pricing and making commercial efforts to rectify any issues in relation to adherence to these provisions;
  • Remittance or Pay Out Services – added clarity on Agoda obligation to transfer the payments collected from guests to the hotels as well as when this obligation does not exist (i.e. for payment that is either refunded or reversed);
  • Suspension of Services– a new provision has been included to permit suspension where (in our sole consideration) the rates, availability, or conditions provided by the property renders the inventory commercially unusable;
  • Data Privacy and data sharing provisions– these have been updated to take account of changes in law/policy and to provide greater flexibility;
  • New Exhibit C (P2B)–  which addresses amendments and transparency statements required by the Platform to Business Regulation 2019/1150 aka P2B. Noting that these only apply to properties in the EEA or in the UK and/or that are available to guests located in the EEA or in the United Kingdom;  and
  • New Exhibit D (Korea and Hong Kong) – this exhibit replaces the Fair Competition (clause 6) provisions for properties located in South Korea and Hong Kong. In effect, this narrows the scope of these provisions for these countries.

  • See a pop-up message with the updated T&Cs on YCS.
  • Be able to view them on the Contracts page (menu: Settings > Contract).

While making sure to maintain clear visibility, readability, and wide coverage, we have updated some important key update statements as listed below:

  • Added clarity on Force Majeure: We have clarified the terms and obligations relating to Force Majeure. Which means an event or circumstance outside of Agoda or property’s reasonable control.
  • Bookings: These terms now include updated terms about the booking processes, booking modifications, booking cancellations, and payment processing.
  • Amendment: These terms now include updated terms about Amendments which provide clarity on notice of the effective date of the changes and information within General Terms in the Extranet. Your continued use of Agoda services after the effective date of the changes will confirm that you acknowledge and accept to be bound to them.

  • Improved Readability: These updated terms have been written in plain language to make them easier to understand. We have also reorganized the terms to group related concepts together and reduce duplication. The defined terms have also been grouped together and their definitions have been simplified.
  • Added Clarity: We have clarified the terms and obligations relating to extranet account security, charging unique payment cards (UPC), tax and invoicing, and giving notice via the extranet.
  • Wider Coverage: These terms now include updated terms about payment processing, dispute resolution, bookings facilitated by third parties, Agoda Collect & Property Collect obligations and fees for optional programs.
